1. Acceptance of Terms

By creating an account, accessing, or using the TaxNoop platform (the "Service"), you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you (or your business entity) and TaxNoop. We may update these Terms from time to time as described in Section 12. Your continued use of the Service after any such changes constitutes your acceptance of the updated Terms. The effective date of the current version is June 24, 2026.

2. Description of Service

TaxNoop provides an AI-powered financial management platform that includes accounting software, tax filing preparation tools, invoice generation, and access to independent expert accountants (Chartered Accountants, CPAs, CA/ACCA professionals) for advisory review. The Service is designed to assist businesses and self-employed individuals in managing their financial records and preparing tax filings for submission to the relevant tax authority in their jurisdiction.

Important Advisory Limitation: TaxNoop is not a licensed tax filing agent, registered tax practitioner, or regulated financial adviser in any jurisdiction. The AI CFO tools and all content generated by the platform are provided for informational and advisory purposes only and do not constitute professional legal, tax, accounting, or financial advice. Expert accountants accessible through the platform are independent professionals; their availability through TaxNoop does not make TaxNoop their employer or make TaxNoop liable for their advice. You remain solely responsible for the accuracy of all information you submit to tax authorities and for any tax returns filed using or informed by the Service.

3. User Accounts & Eligibility

To use TaxNoop, you must be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into contracts. By registering, you confirm that all information you provide is accurate and that you will keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

If you register on behalf of a business, you warrant that the business is duly incorporated or registered under applicable law and that you are authorised to accept these Terms and operate the account on its behalf. TaxNoop reserves the right to verify your identity or business registration details and to suspend accounts where verification fails.

4. Subscription Plans & Billing

TaxNoop offers subscription plans on a monthly basis. All fees are charged in the local currency applicable to your locale and are exclusive of any applicable taxes, including but not limited to GST, VAT, SST, sales tax, or withholding tax, which shall be added to invoices where required by law. Subscriptions renew automatically unless cancelled before the renewal date.

Payments are processed in EUR or GBP depending on your location. Subscription fees are subject to VAT at the rate applicable in your country in accordance with the EU VAT Directive 2006/112/EC and, for UK users, the Value Added Tax Act 1994. TaxNoop complies with distance selling regulations applicable in your jurisdiction, including the EU Consumer Rights Directive 2011/83/EU and, for UK users, the Consumer Contracts Regulations 2013. You have the right to cancel your subscription within 14 days of initial purchase unless you have already accessed the digital service, in which case the right of withdrawal may not apply.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not: (a) use the Service to file fraudulent or knowingly inaccurate tax returns; (b) upload malicious code, viruses, or any content designed to disrupt the platform; (c) attempt to gain unauthorised access to other users' accounts or data; (d) reverse engineer, decompile, or disassemble any part of the platform; (e) use the Service for money laundering, tax evasion, or any activity that violates applicable law; or (f) share your account credentials with any third party not expressly authorised under a business account.

TaxNoop reserves the right to suspend or terminate your account immediately and without prior notice if you breach these acceptable use terms. We will cooperate fully with law enforcement authorities in relation to any suspected illegal activity conducted through the Service.

6. Intellectual Property

All intellectual property rights in the TaxNoop platform, including the software, AI models, user interface designs, brand assets, and content generated by TaxNoop (excluding your financial data), are owned by or licensed to TaxNoop. Nothing in these Terms grants you any right to use TaxNoop's trademarks, trade names, or logos without our prior written consent.

You retain ownership of all financial data, documents, and content that you upload to the platform ("Your Content"). By uploading Your Content, you grant TaxNoop a limited, non-exclusive, royalty-free licence to process, store, and use Your Content solely for the purpose of providing the Service to you. We do not claim any ownership rights over Your Content and will not use it for any purpose beyond service delivery and (in anonymised, aggregated form) platform improvement.

7. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, TaxNoop disclaims all warranties, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. TaxNoop does not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.

TaxNoop does not warrant the accuracy, completeness, or suitability of any AI-generated content, tax calculations, or advisory outputs for your specific circumstances. The platform provides tools to assist your financial management; it does not replace the judgment of a qualified tax professional with knowledge of your full financial situation. You should seek independent professional advice before making significant financial or tax decisions.

8. Limitation of Liability

To the maximum extent permitted under applicable law, including the Consumer Rights Act 2015 (UK) and EU consumer protection legislation, TaxNoop's total aggregate liability to you shall not exceed the total subscription fees paid by you in the 12 months preceding the claim. TaxNoop shall not be liable for any indirect, incidental, or consequential loss or damage, including any fines, penalties, or interest imposed by HMRC, any EU tax authority, or VAT authorities, arising from use of the Service. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless TaxNoop and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) any information or content you submit through the Service that is inaccurate, misleading, or fraudulent; (c) your violation of any applicable law or regulation, including tax law; or (d) your infringement of any third-party rights.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales for UK users, or the law of the member state of the European Union in which you are resident for EEA users, in each case subject to mandatory local consumer protection law that cannot be contracted out of. For UK users, any dispute shall be subject to the non-exclusive jurisdiction of the courts of England and Wales. For EEA users, you may bring proceedings in your country of residence. TaxNoop complies with its obligations under the EU Consumer Rights Directive 2011/83/EU and the UK Consumer Rights Act 2015, including with respect to digital content contracts. The eIDAS Regulation (EU) No 910/2014 applies to electronic signatures and contracts concluded through the platform.

11. Termination

You may terminate your account at any time by cancelling your subscription and deleting your account from the platform settings. Upon termination, your access to the Service will cease at the end of the current billing period for paid plans. We will retain your data for the period required by applicable law as described in the Privacy Policy and will then delete or anonymise it.

TaxNoop may suspend or terminate your access to the Service immediately and without notice if you breach these Terms, if we are required to do so by law or regulation, or if continuing to provide the Service to you would expose TaxNoop to legal liability. In cases of termination for material breach, no refund of prepaid fees will be provided. In all other cases of termination by TaxNoop, we will provide a pro-rated refund of any unused prepaid subscription fees.

12. Changes to Terms

TaxNoop reserves the right to modify these Terms at any time. We will provide notice of material changes by emailing registered users and by posting a notice on the platform at least 14 days before the changes take effect. For users in the EEA and UK, where changes are material and not required by law, you have the right to reject the new Terms and terminate your subscription without penalty before the new Terms take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account as described in Section 11.
